Software Support and Maintenance Agreement

axaio software GmbH offers a software support and maintenance agreement (SMA) for its products MadeToPrint, MadeForLayers, MadeToTag and MadeToCompare. The main advantage of a software maintenance agreement is the fixed, calculable price of the software. A user with an SMA has permanent access to free updates and technical support, enabling secure technical and financial planning.

Components of the agreement

1. Support

Customers who have a software maintenance agreement (SMA) are authorized to get advice and assistance through telephone and email support during normal working hours. SMA support is provided in the form of best-possible solutions, and can comprise short-term workaround solutions and/or the provision of product modifications or documentation.

2. Software maintenance

Any updates - including bug fix updates, minor version updates or major version updates - to the Products and documentation licensed by Licensee from axaio will be furnished on request or when released by axaio. axaio's policy is to utilize the Internet for software distribution. Users requiring media will be responsible for both media and shipping costs. All product updates are made available on axaio's Web Site and/or ftp Server at no additional cost, other than as described above, to Licensee during the term of this Agreement.

Software Maintenance Agreements (SMAs) can be purchased at any time, with the exception of MadeToPrint Auto and MadeToPrint Server. For the licenses MadeToPrint Auto and MadeToPrint Server, a software maintenance contract must always be concluded for the first year from the date of purchase of the relevant license.

In case SMA(s) are ordered more than three months later than the product(s) to be covered by that SMA, major upgrades for these products are not free of charge. Customers having signed SMAs subsequently are not entitled to major upgrades free of charge before the SMA has been extended for the first time or a 12-month blocking period has ended. In this case entitlement to free of charge major release updates exists exclusively with the extension of the subsequently concluded contract.

3. Products including an Adobe InDesign Server component

Due to the changes made by Adobe Systems, Inc. to its license and update policy for Adobe InDesign Server in summer 2013, different rules apply to products, which include an Adobe InDesign Server component:

Updates to the InDesign Server component of Adobe InDesign Server CS 6 (or earlier versions) to Adobe InDesign CC Server are not possible in any circumstances and cannot be offered by axaio software.

If, instead of MadeToPrint Server with InDesign Server CS 6 (or an earlier version), MadeToPrint Server with Adobe InDesign CC Server is required, either a new licensing agreement must be concluded on a subscription basis for MadeToPrint with an Adobe InDesign CC Server component or the existing licensing agreement for MadeToPrint Server with an Adobe InDesign Server component must be replaced by a licensing agreement for MadeToPrint Server without Adobe InDesign Server. In the latter case, Adobe InDesign CC Server can then be licensed separately by the customer directly from Adobe or an Adobe partner.

This does not affect updates for MadeToPrint itself with the exception that all functions which are only possible with Adobe InDesign CC Server or later are usually not made available in MadeToPrint for Adobe InDesign Server CS 6 (or earlier) and will also not be available in the future (latest) versions of MadeToPrint.

4. Price reductions for crossgrades

(operating system changes/application changes)

During the validity of the agreement, operating system changes, for products may be purchased at reduced prices as follows:

▪ 0% of the list price of the valid license during the first year after the purchase of the license

▪ 15% of the list price of the valid license as of the second year after the purchase of the license

During the validity of the agreement, application changes for products may be purchased at reduced prices as follows:

▪ 30% of the list price of the valid license during the first year after the purchase of the license

▪ 60% of the list price of the valid license during the second year after the purchase of the license

▪ 75% of the list price of the valid license during the third year after the purchase of the license

5. Additional product licenses

During the validity of the agreement, additional product licenses can be purchased at quantity-scale prices on the basis of the price list that is currently valid.

6. License Extension Agreement

SMA customers are eligable to conclude a license extension agreement. This agreement allows the rotational usage of older MadeToPrint or MadeToCompare host application versions on these workstations, where the newest MadeToPrint or MadeToCompare version is running. The annual license extension agreement fee is 15% of the software list price.

7. Duration

The agreement is valid for the 12 month period following the date of purchase of the product. For the Auto and Server version of MadeToPrint a software maintenance agreement is obligatory for the 1st year after purchase. In some circumstances, it may be possible to enter into an SMA later on. 8. Price
